01

Wholesale Eligibility & Account Governance

Access to Top Flight Canada's wholesale pricing, customized manufacturing runs, and digital ordering infrastructure is strictly reserved for verified commercial entities operating in the optical, ophthalmic, and healthcare retail sectors.

  • Corporate users are exclusively responsible for maintaining confidential credential security across authorized staff accounts.
  • Wholesale applications undergo business credential verification before access to tiered trade pricing schedules is granted.
  • We reserve the authority to terminate dormant, non-compliant, or unauthorized consumer-facing accounts without prior written liability.
02

Commercial Ordering, Pricing & Order Acceptance

All catalog representations, digital listings, and price schedules constitute an invitation to treat rather than an irrevocable commercial offer. Purchase contracts become binding solely upon our written acceptance or upon order fulfillment confirmation dispatched from our central Vaughan distribution hub.

Top Flight Canada reserves the right to correct typographic pricing discrepancies, adjust production quantities based on raw material batch constraints, or cancel unfulfilled lines should unexpected logistical embargoes or stock discrepancies occur.

03

B2B Invoicing, Accounting & Payment Settlements

Transactions initiated through our purchasing interfaces automatically interface with enterprise financial accounting software (including Intuit QuickBooks Online) to establish validated sales receipts and tax invoices.

Settlement Compliance

Standard payment terms dictate immediate settlement via approved commercial credit card, electronic funds transfer (EFT), or pre-authorized corporate net terms where established. Past-due accounts are subject to commercial late charges computed at 1.5% per month (18% per annum) or the statutory commercial limit, in addition to reasonable third-party debt recovery expenses.

04

Custom Logo Printing & Proof Approval Protocol

We provide specialized personalization services encompassing pad printing, screen printing, and bespoke labelling across our optical cases, microfiber cloths, and lens cleaning bottles. To guarantee fidelity and brand consistency, our operations adhere to a stringent quality assurance pipeline:

  • Buyers must submit high-resolution vector artwork (AI, EPS, or vector PDF) and are responsible for intellectual property ownership and licensing rights.
  • A photographic proof of the physical pre-production run is presented for formal approval prior to initiating full mechanical manufacturing.
  • Following confirmed proof acceptance, customized production runs cannot be retracted, refunded, or altered owing to irreversible bespoke fabrication.
05

Logistics, Freight & Title Transfer Standards

All wholesale consignments depart our central facility located at 311 Bowes Rd, Unit B2, Vaughan, Ontario under standard commercial shipping terms. Legal risk of loss and product title transfer to the wholesale customer immediately upon carrier consignment scan.

Visible packaging compromise or transit-induced physical damage must be documented upon carrier bill of lading and communicated to our customer operations desk within forty-eight (48) hours of delivery receipt.

06

Intellectual Property & Commercial Brand Protection

All graphical compositions, proprietary formulations, technical product diagrams, photography, copywriting, and software systems displayed within this digital catalog are the protected intellectual property of Top Flight Canada or authorized licensors. Systematic scraping, digital harvesting, unauthorized reproduction, or republication of technical assets for third-party commercial exploitation without formal written authorization is strictly prohibited.

07

Limited Commercial Warranties & Liability Caps

Top Flight Canada warrants that delivered goods correspond strictly to verified product specifications and are free from structural manufacturing defects upon initial receipt. Because product utilization environments, chemical exposure, and frame mechanical interactions vary across practice counters, no implied warranty of extended merchantability is provided beyond initial physical conformity.

To the maximum extent permitted by applicable commercial statutes, Top Flight Canada's aggregate liability arising out of contract, negligence, product defect, or order default shall strictly not exceed the total financial consideration paid by the customer for the specific consignment lot in dispute.

08

Jurisdiction & Terms Modifications

These Terms of Use and all underlying commercial sales agreements are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any legal proceeding arising hereunder shall be subject to the exclusive jurisdiction of the courts sitting in the Judicial District of York, Ontario.

We reserve the right to periodically amend these operational terms to reflect changing trade regulations, platform mechanics, or procurement dynamics. Continued portal access confirms ongoing assent to updated terms.
